By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you may not access or use the Platform.
These Terms constitute a legally binding agreement between you and SERV ApS. By creating an account, you represent and warrant that:
- You are at least 18 years of age and have the legal capacity to enter into a binding agreement
- If you are acting on behalf of an Organisation, you have the authority to bind that Organisation to these Terms, and the Organisation agrees to be bound accordingly
- All information you provide during registration and throughout your use of the Platform is accurate, complete, and current
- Your use of the Platform does not violate any applicable law, regulation, or obligation to which you are subject
These Terms, together with our Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between you and SERVOS regarding your use of the Platform.
3.Description of Service
SERVOS is a modular operations and commerce platform designed for service-based businesses. The Platform is provided on a software-as-a-service (SaaS) basis and includes tools for:
- Booking management, availability calendars, and resource scheduling
- Customer relationship management, profiles, and communication
- Point-of-sale, order management, and unified checkout
- Invoicing, payment processing, and financial reporting
- Check-in and check-out workflows
- Channel management and synchronisation with third-party booking platforms
- Staff management, role-based access controls, and multi-location support
- Add-ons, upsells, discount codes, and event ticketing
The Platform is under continuous development. Features and functionality may be added, modified, or retired at our discretion as the Platform evolves. We will endeavour to provide reasonable notice of material changes that affect your existing use of the Platform. The withdrawal of a non-essential feature does not entitle you to a refund or price reduction unless expressly agreed otherwise.
4.Account Registration
To use the Platform, you must create an account by providing accurate, complete, and current information. You are responsible for:
- Maintaining the accuracy of your account information and updating it promptly if it changes
- Keeping your login credentials confidential and secure, and not sharing them with any unauthorised third party
- All activities that occur under your account or credentials, whether or not expressly authorised by you
- Notifying us immediately at [email protected] if you become aware of any unauthorised access to or use of your account
We reserve the right to suspend or terminate accounts that contain materially inaccurate or fraudulent information, that are used in violation of these Terms, or that remain inactive for an extended period, upon reasonable notice.
5.Organisations and Users
The Platform operates on a multi-tenant model. Each account is associated with one or more Organisations, each of which may contain one or more Locations. Access to Organisation data is governed by roles and permissions configured by the Organisation’s administrators.
Administrator responsibilities
- The individual who creates an Organisation is designated as the initial administrator. The administrator role carries full responsibility for managing User access, permissions, and compliance within that Organisation
- Administrators may invite additional Users, assign and revoke roles, and configure access levels. The Organisation is responsible for the actions of all Users it has authorised
- Administrators must promptly revoke access for Users who are no longer authorised, including former employees or contractors
Multi-tenancy and data isolation
- Each Organisation’s data is logically isolated within the Platform. Users of one Organisation cannot access data belonging to another Organisation unless expressly configured
- Each Organisation is independently responsible for the lawfulness of its data processing activities, its compliance with applicable laws, and the accuracy and completeness of its own data
User accounts
We provide unlimited User accounts per Organisation as part of the Subscription. There are no per-seat or per-user fees. Each User must have a unique account and credentials; account sharing is not permitted.
6.Subscription and Fees
Pricing structure
Access to the Platform requires a paid Subscription. Subscriptions are priced per Location and billed on either a monthly or annual basis, at your election. Current pricing is published on our website. All prices are quoted in euros (EUR) and are exclusive of applicable value-added tax (VAT), goods and services tax (GST), or other sales taxes, which will be added to invoices where required by law.
Billing and payment
- Subscription fees are billed in advance at the start of each billing period (monthly or annually)
- Annual Subscriptions are billed as a single upfront payment covering the full twelve-month period
- Payment is due on the date of invoice. Invoices are issued electronically and payable by credit card, debit card, or such other methods as we may make available
- If payment fails or is not received within seven (7) days of the due date, we may restrict access to certain Platform features. If payment remains outstanding for more than thirty (30) days, we may suspend your account in accordance with Section 17
Platform fee
A platform fee applies to all transactions processed through SERVPAY. The current platform fee rate is published on our pricing page. This fee is calculated as a percentage of each transaction amount and is in addition to the standard card processing and interchange fees charged by Stripe. Platform fees are deducted automatically from transaction proceeds before settlement to your account.
No commission on bookings
SERVOS does not charge a per-booking commission. There are no hidden fees, lock-in penalties, or charges based on booking volume. You pay only your Subscription fee and the applicable SERVPAY platform fee on processed transactions.
Refund policy
Subscription fees are non-refundable once a billing period has commenced, except where a refund is required by applicable consumer protection law (including the Danish Consumer Contracts Act / Forbrugeraftaleloven) or where we have materially breached these Terms and failed to remedy the breach within a reasonable period. If you cancel a monthly Subscription, you will retain access until the end of the current billing period. If you cancel an annual Subscription, you will retain access until the end of the annual period; no partial or pro-rata refund will be issued for the remaining months.
Price changes
We may adjust Subscription pricing or the SERVPAY platform fee rate from time to time. We will provide at least thirty (30) days’ written notice of any price increase by email to the address associated with your account. Price changes take effect at the start of the first billing cycle following the notice period. If you do not agree to a price change, you may cancel your Subscription before the new pricing takes effect, and the prior pricing will apply for the remainder of your current billing period.
7.Payment Processing
Payment processing on the Platform is provided by Stripe, Inc. through Stripe Connect. By activating SERVPAY or using any of the Platform’s payment features, you agree to be bound by the Stripe Connected Account Agreement, including the Stripe Terms of Service, as each may be modified by Stripe from time to time.
Data handling
Payment card details are collected and processed exclusively by Stripe in a PCI-DSS compliant environment. Card numbers, CVVs, and full magnetic stripe data are never transmitted to, processed by, or stored on SERVOS servers. We receive and retain only transaction identifiers, payment status, and truncated card information (last four digits, expiry date, and card brand) as returned by Stripe.
Your responsibilities
- You are responsible for the accuracy of all payment information and pricing configured within your Organisation
- You bear full responsibility for any chargebacks, refund requests, or payment disputes arising from transactions processed through your Organisation. SERVOS is not a party to the transaction between you and your Customer
- You must comply with all applicable laws and payment card industry rules in connection with your use of SERVPAY, including consumer protection and distance selling regulations
Limitation
We are not liable for any errors, delays, failed transactions, or losses arising from the performance, unavailability, or conduct of Stripe or any other third-party payment infrastructure. Stripe is an independent third-party service provider and not an agent or subcontractor of SERVOS for the purposes of payment processing.
8.Acceptable Use
You agree to use the Platform lawfully, in good faith, and in accordance with these Terms. Without limiting the generality of the foregoing, you shall not:
- Use the Platform for any purpose that is unlawful, fraudulent, or prohibited by these Terms or by any applicable law or regulation
- Interfere with, disrupt, degrade, or attempt to compromise the security, integrity, or availability of the Platform, its infrastructure, or any connected systems or networks
- Attempt to gain unauthorised access to any part of the Platform, other accounts, computer systems, or networks connected to the Platform, whether by hacking, password mining, or any other means
- Introduce or transmit any virus, trojan, worm, ransomware, or other malicious code, or any material that is harmful, threatening, defamatory, obscene, or otherwise objectionable
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, or data structures of the Platform, except to the extent that such restriction is expressly prohibited by applicable law
- Copy, modify, create derivative works from, or distribute any part of the Platform without our prior written consent
- Resell, sublicense, lease, lend, redistribute, or make the Platform or any part thereof available to any third party, whether for commercial purposes or otherwise, without our prior written consent
- Use the Platform in a manner that places an unreasonable or disproportionate load on our infrastructure, including excessive API calls, automated bulk operations, or denial-of-service activity
- Scrape, harvest, crawl, index, or collect data from the Platform by automated means (including bots, spiders, and scrapers) without our express written permission
- Use the Platform to store or process data that is subject to heightened regulatory requirements (such as health data subject to specific sectoral regulation, or data subject to financial services regulation) unless you have obtained our prior written confirmation that the Platform is suitable for such use
Violation of this acceptable use policy may result in immediate suspension or termination of your access to the Platform in accordance with Section 17, without prejudice to any other rights or remedies available to us.
9.Intellectual Property
SERVOS intellectual property
The Platform, including its source code, object code, architecture, user interface, design, graphics, documentation, APIs, trademarks, trade names, logos, and all related content and materials, is the exclusive property of SERV ApS or its licensors and is protected by Danish and international intellectual property laws, including copyright, trademark, patent, and trade secret law.
Your Subscription grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for your internal business purposes during the term of your Subscription. This licence does not convey any ownership interest in the Platform or any right to use our trademarks, logos, or branding without our prior written consent.
Your Content
You retain full ownership of Your Content. By using the Platform, you grant SERVOS a limited, non-exclusive, worldwide, royalty-free licence to host, store, cache, process, reproduce, and display Your Content solely to the extent necessary to provide, maintain, and improve the Platform. This licence is automatically revoked upon deletion of Your Content or closure of your account, subject to any retention obligations described in our Privacy Policy.
You represent and warrant that you own or have obtained all necessary rights, licences, and consents to submit Your Content to the Platform, and that Your Content does not infringe the intellectual property rights or other rights of any third party.
Feedback
If you provide us with suggestions, feature requests, bug reports, or other feedback regarding the Platform ("Feedback"), you grant us an unrestricted, irrevocable, perpetual, royalty-free licence to use, modify, and incorporate such Feedback into the Platform or our other products without obligation, attribution, or compensation to you.
10.Your Data and Privacy
Your use of the Platform is governed by our Privacy Policy, which describes in detail how we collect, use, store, and protect personal data. The Privacy Policy is incorporated into these Terms by reference.
Data controller and processor roles
- SERVOS is the data controller for the personal data of its own Users (account holders, administrators, and staff) as described in our Privacy Policy
- Where your Organisation uses the Platform to process the personal data of your own Customers, your Organisation acts as the data controller for that Customer data, and SERVOS acts as a data processor on the Organisation’s behalf
- The data processing relationship between your Organisation and SERVOS is governed by a separate Data Processing Agreement (DPA), which is available upon request and forms part of these Terms to the extent applicable
Your compliance obligations
- You are responsible for ensuring that your collection, storage, and processing of personal data through the Platform complies with all applicable data protection legislation, including the General Data Protection Regulation (EU) 2016/679 (GDPR), the Danish Data Protection Act (Databeskyttelsesloven), and any other applicable national implementing legislation
- You must obtain all necessary consents, provide all required notices, and establish a lawful basis for any personal data you process through the Platform, including the personal data of your Customers
- You are solely responsible for responding to data subject requests (access, rectification, erasure, portability, and objection) relating to Customer data you have processed through the Platform. We will provide reasonable technical assistance to enable you to fulfil such requests
Data portability and export
You may export Your Content at any time during your active Subscription using the export tools available within the Platform. Upon termination, we will make Your Content available for export for a period of thirty (30) days, after which it may be permanently and irreversibly deleted from our systems.
11.Confidentiality
Each party acknowledges that, in connection with these Terms and the use of the Platform, it may receive or have access to information that is confidential to the other party ("Confidential Information"). Confidential Information includes, without limitation, business plans, customer lists, financial data, technical specifications, pricing, and any other information that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.
- Each party agrees to hold the other party’s Confidential Information in strict confidence, to use it solely for the purposes contemplated by these Terms, and not to disclose it to any third party without the prior written consent of the disclosing party
- The obligations of confidentiality do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was lawfully in the receiving party’s possession prior to disclosure; (c) is independently developed by the receiving party without reference to the Confidential Information; or (d) is required to be disclosed by law, regulation, or order of a court or competent authority, provided that the receiving party gives prompt notice to the disclosing party where legally permitted
- The confidentiality obligations set forth in this section survive termination of these Terms for a period of three (3) years
12.Third-Party Services and Integrations
The Platform may integrate with or enable connections to third-party services, platforms, and applications, including but not limited to:
- Stripe, Inc. — payment processing, Stripe Connect, and related financial services
- Online travel agencies (OTAs) — channel synchronisation with booking platforms such as Booking.com and Airbnb, including calendar and availability synchronisation
- Email delivery providers — transactional email services for booking confirmations, invoices, and account notifications
- Monitoring and analytics services — error tracking, performance monitoring, and usage analytics to maintain and improve Platform reliability
Third-party services are provided by independent companies and are governed by their own terms of service, privacy policies, and licence agreements. SERVOS does not control, endorse, or assume responsibility for the availability, accuracy, content, or practices of any third-party service. Your use of third-party integrations is at your own risk.
We are not liable for any loss, damage, or disruption arising from the acts or omissions of a third-party service provider, including changes to their APIs, service interruptions, pricing changes, or discontinuation of their services. Where a third-party integration is discontinued or materially altered, we will endeavour to provide reasonable notice and, where feasible, an alternative solution.
13.Service Availability and Support
Availability
We strive to maintain high availability of the Platform and target an uptime of 99.9% measured on a monthly basis, excluding planned maintenance windows. However, we do not guarantee uninterrupted, error-free, or continuous access. The Platform may be temporarily unavailable due to:
- Scheduled maintenance, for which we will endeavour to provide at least 24 hours’ advance notice via the Platform or email, and which we will schedule outside peak business hours where practicable
- Emergency maintenance required to address security vulnerabilities, critical bugs, data integrity issues, or infrastructure failures
- Circumstances beyond our reasonable control, including force majeure events, third-party service outages, internet connectivity issues, or distributed denial-of-service attacks
Support
Technical support is available via email at [email protected]. We will use commercially reasonable efforts to respond to support requests within one (1) business day during standard business hours (Monday to Friday, 09:00–17:00 CET, excluding Danish public holidays). Critical issues affecting Platform availability or data integrity will be prioritised.
Data import assistance
We offer data import services to help you migrate from existing systems to the Platform. Data import assistance is provided on a best-efforts basis and may be subject to additional terms depending on the volume and complexity of the migration.
14.Warranties and Disclaimers
Our warranty
We warrant that: (a) the Platform will perform materially in accordance with its published documentation during the term of your Subscription; (b) we will provide the Platform with reasonable care and skill; and (c) we have the right and authority to enter into these Terms and to grant the licences described herein.
Disclaimer
Except for the express warranties stated above, and to the fullest extent permitted by applicable law (including Danish and EU consumer protection law):
- The Platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise
- We disclaim all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement
- We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components
- We do not warrant that the Platform will meet your specific requirements, produce any particular results, or be compatible with any particular third-party software or hardware
- We are not responsible for the accuracy, reliability, or completeness of any data you or your Users input into the Platform, or for any business decisions made in reliance on such data
Nothing in these Terms is intended to exclude or restrict warranties or rights that cannot be lawfully excluded under applicable mandatory law, including the Danish Sale of Goods Act (Købeloven) to the extent it applies.
15.Limitation of Liability
To the fullest extent permitted by applicable law, including Danish law:
Exclusion of indirect damages
SERV ApS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, business opportunities, contracts, goodwill, or anticipated savings arising out of or in connection with your use of the Platform, regardless of the theory of liability (whether in contract, tort, strict liability, or otherwise) and regardless of whether we have been advised of the possibility of such damages.
Aggregate liability cap
Our total aggregate liability to you for all claims arising out of or related to these Terms or the Platform, whether in contract, tort, or otherwise, shall not exceed the total Subscription fees actually paid by you to SERVOS in the twelve (12) months immediately preceding the event or series of related events giving rise to the claim. Where no fees have been paid, our total liability shall not exceed one hundred euros (€100).
Exceptions
Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) wilful misconduct or gross negligence; or (d) any other liability that cannot be lawfully excluded or limited under applicable mandatory law, including applicable Danish and EU consumer protection legislation.
Basis of the bargain
You acknowledge that the fees charged for the Platform reflect the allocation of risk set forth in this limitation of liability section, and that SERVOS would not enter into these Terms without these limitations.
16.Indemnification
You agree to indemnify, defend, and hold harmless SERV ApS and its directors, officers, employees, agents, and successors from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and disbursements) arising out of or related to:
- Your use of the Platform in breach of these Terms or any applicable law
- Your violation of the rights of any third party, including intellectual property rights, privacy rights, or contractual rights
- Any data, content, or materials you or your Users submit to, store on, or process through the Platform, including claims that Your Content infringes the rights of a third party
- Disputes between you and your Customers, end users, or other third parties arising from transactions, bookings, or services managed through the Platform
- Your failure to comply with applicable data protection legislation in your capacity as a data controller
We will promptly notify you of any claim subject to indemnification and will provide reasonable cooperation at your expense. You may not settle any claim without our prior written consent if the settlement would impose obligations on us or admit fault on our behalf.
17.Termination
Termination by you
You may cancel your Subscription and close your account at any time by notifying us in writing at [email protected]. Upon cancellation:
- Your access to the Platform will continue until the end of your current billing period
- No further charges will be incurred after the current billing period ends
- No refund will be issued for the unused portion of the current billing period, except where required by applicable law
Termination by us
We may suspend or terminate your access to the Platform:
- For cause — immediately, or upon fourteen (14) days’ written notice if you breach any material provision of these Terms and fail to cure the breach within the notice period
- For non-payment — if your account remains unpaid for more than thirty (30) days past the due date, after we have provided at least two (2) payment reminders
- For acceptable use violations — immediately, without notice, if your conduct poses an imminent risk to the security, integrity, or availability of the Platform or to other users
- By legal requirement — immediately, where we are required to do so by law, regulation, or a binding order of a competent authority
- Service discontinuation — upon ninety (90) days’ written notice, if we decide to discontinue the Platform entirely, in which case a pro-rata refund of prepaid and unused Subscription fees will be issued
Effect of termination
- Upon termination, your right to access and use the Platform ceases at the end of the applicable notice or billing period
- You may request an export of Your Content within thirty (30) days of termination. After this period, we may permanently delete Your Content from our systems without further notice
- Any outstanding fees incurred prior to termination remain due and payable
- Provisions that by their nature should survive termination will remain in effect, including but not limited to Sections 1 (Definitions), 9 (Intellectual Property), 11 (Confidentiality), 14 (Warranties and Disclaimers), 15 (Limitation of Liability), 16 (Indemnification), 20 (General Provisions), and 21 (Governing Law and Dispute Resolution)
18.Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms (other than payment obligations) to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, epidemics or pandemics, war, terrorism, riots, civil unrest, government actions or sanctions, embargoes, fire, flood, earthquake, power outages, internet or telecommunications failures, cyberattacks, strikes or labour disputes, or failures of third-party infrastructure providers.
The affected party shall give prompt written notice to the other party, specifying the nature and expected duration of the event, and shall use commercially reasonable efforts to mitigate its effects and resume performance as soon as practicable. If a force majeure event continues for more than ninety (90) consecutive days, either party may terminate the affected Subscription upon written notice, and a pro-rata refund of prepaid fees for the affected period will be issued.
19.Changes to These Terms
We reserve the right to amend these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes that adversely affect your rights or obligations, we will provide at least thirty (30) days’ advance notice by email to the address associated with your account and through a prominent notice on the Platform.
Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Platform and cancel your Subscription before the changes take effect. The prior version of the Terms will govern your use until the end of your current billing period.
20.General Provisions
Entire agreement
These Terms, together with our Privacy Policy, any applicable Data Processing Agreement, and any other documents expressly incorporated by reference, constitute the entire agreement between you and SERVOS regarding your use of the Platform, and supersede all prior or contemporaneous agreements, negotiations, representations, and proposals, whether written or oral.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent, or, if modification is not possible, it shall be severed from these Terms.
Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms, in whole or in part, without our prior written consent. Any attempted assignment in violation of this section is void. We may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of our assets, provided that the assignee agrees to be bound by these Terms.
Waiver
No failure or delay by either party in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, or remedy preclude any other or further exercise thereof or the exercise of any other right, power, or remedy.
Notices
All notices required or permitted under these Terms shall be in writing and shall be deemed effectively given: (a) upon personal delivery; (b) upon sending by email to the address associated with your account (for notices to you) or to [email protected] (for notices to us); or (c) one (1) business day after deposit with a nationally recognised overnight courier service with tracking capability. We may also provide notices through the Platform interface for non-critical communications.
No third-party beneficiaries
These Terms are for the sole benefit of the parties hereto and do not confer any rights or benefits on any third party, except that the indemnified parties identified in Section 16 are intended third-party beneficiaries of that section.
Relationship of the parties
Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and SERVOS. Neither party has the authority to bind the other or to incur obligations on behalf of the other.
21.Governing Law and Dispute Resolution
Governing law
These Terms are governed by and construed in accordance with the substantive laws of the Kingdom of Denmark, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
Jurisdiction
Any disputes arising out of or in connection with these Terms that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the City Court of Copenhagen (Københavns Byret), Denmark, as the court of first instance. Each party irrevocably consents to the jurisdiction and venue of said court.
Good-faith negotiation
Before initiating formal legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least thirty (30) days following written notice of the dispute.
Consumer rights
If you are a consumer within the European Union, nothing in these Terms affects your statutory rights under applicable mandatory consumer protection legislation, including the Danish Consumer Complaints Act (Forbrugerklageloven). You may also submit a dispute to the European Commission’s Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
